1. Agreement

These Terms and Conditions (the “Terms”) are a binding agreement between you and The Good Consulting Company LLC, doing business as Good Peptide Co. (“Good Peptide Co.”, “we”, “us,” or “our”). They govern your use of goodpeptide.co (the “Site”), your account, and every Order you place.

By creating an account, accessing the catalog or placing an Order, you agree to these Terms. If you do not agree, do not use the Site.

Our Privacy Policy is part of these Terms. If you have a separate written agreement with us (for example, for wholesale), that agreement controls where it conflicts with these Terms.

2. Definitions

  • “Products” means peptides, lyophilized powders, related reagents and other research materials we sell, in any form.
  • “Qualified Researcher” means an individual, or an organization acting through individuals, with the training, facilities and authority to handle laboratory materials safely and lawfully.
  • “Research Purposes” means in-vitro laboratory research, analytical testing and scientific investigation. Research Purposes exclude:
    • any administration to humans or animals;
    • any clinical, diagnostic or therapeutic use; and
    • any use in or as a food, drug, dietary supplement, cosmetic or other consumer product.
  • “Order” means a request to buy Products, submitted through the Site or by any other method we accept, such as a wholesale invoice.
  • “Account” means your account on the Site, including any wholesale or affiliate access we enable on it.

3. Eligibility and accounts

Who may buy. You may create an Account and buy Products only if:

  • you are at least 21 years old;
  • you are a Qualified Researcher, or are authorized to buy on behalf of one; and
  • you are buying solely for Research Purposes.

Account required. Prices and checkout are available only to signed-in Account holders.

Registration. To register, you must give accurate, current information, keep it up to date, and accept the research-use agreement and any waivers presented at registration.

Wholesale and affiliate access is by application and our approval, by invitation, or through a pricing link from an account we have authorized to share its pricing. We may enable, change or remove it at any time.

Verification. We may ask for more information about you, your organization or your research purpose at any time, before or after an Order is placed. We may delay, decline or cancel an Order, or suspend an Account, until we are satisfied.

Account security.

  • Keep your login credentials confidential. You are responsible for all activity on your Account.
  • Accounts are for a single user and may not be shared, sold or transferred.
  • Tell us immediately at support@goodpeptide.co if you suspect unauthorized access.

4. Research Use Agreement

Research use only. Products are sold strictly for Research Purposes.

  • Products are not drugs, foods, dietary supplements, cosmetics or medical devices.
  • Products have not been evaluated by the U.S. Food and Drug Administration.
  • Products are not intended to diagnose, treat, cure or prevent any disease.
  • Good Peptide Co. is not a pharmacy, a compounding pharmacy, or an outsourcing facility under section 503B of the Federal Food, Drug, and Cosmetic Act.

Limited right of use. When you buy a Product, you receive a limited, non-exclusive, non-transferable right to use it for your own internal Research Purposes. Unless a separate written agreement with us allows it, you may not resell, repackage, relabel, distribute or transfer a Product, or use it as a component of another product.

Prohibited uses. You will not, and will not allow anyone else to:

  • administer any Product to a human or animal by any route, including injection, ingestion, inhalation or topical application;
  • use any Product in or as a food, drug, dietary supplement, cosmetic or other consumer product;
  • use any Product for clinical, diagnostic or therapeutic purposes;
  • sell or provide any Product to anyone for personal use, or for any of the uses above;
  • use any Product in connection with athletic competition; or
  • use any Product in violation of any law or regulation.

Checkout declaration. Before each Order can be completed, you must check the box confirming that the Products are purchased for in vitro laboratory research only, not for human or veterinary use, and that you accept these Terms. The box is required and is never pre-selected.

Your representations. Each time you place an Order, you confirm that:

  • you meet the eligibility requirements in section 3;
  • the information you gave us, including your checkout declaration, is accurate;
  • Products will be handled only by trained personnel using appropriate safety procedures and the storage conditions on the label;
  • you are solely responsible for deciding whether a Product is suitable for your research; and
  • you will comply with all laws that apply to your purchase, possession, use and disposal of Products.

Your jurisdiction. We do not represent that any Product is lawful to buy, possess or use in your jurisdiction. Confirming that is your responsibility.

No usage guidance. We do not provide dosing, administration, reconstitution, protocol or personal-use guidance of any kind, in any channel, including customer support. Information on the Site describes Product identity, specifications and quality only.

Breach. If we believe you have breached this section, we may cancel pending Orders, close your Account and refuse future sales, in addition to any other remedy.

5. Wholesale access

If we enable wholesale access on your Account:

  • you receive wholesale pricing as shown in your Account or on your invoice;
  • wholesale pricing is confidential and may not be shared outside your organization;
  • section 4 continues to apply in full, including the limits on resale, unless a separate written agreement with us says otherwise; and
  • we may remove wholesale access at any time.

6. Orders and acceptance

Acceptance. Your Order is an offer to buy. We accept it only when we ship it. An order confirmation email confirms that we received your Order, not that we accepted it.

Our right to refuse or cancel. We may refuse, cancel or limit any Order, including after confirmation, if:

  • we believe the Products may be used for something other than Research Purposes, or resold for personal use;
  • we cannot verify your identity, organization or research purpose;
  • we suspect fraud, an unauthorized transaction or a high risk of chargeback;
  • the Order exceeds quantity limits, or a Product is unavailable;
  • there is an error in a price or in Product information; or
  • the Order would violate these Terms or any law.

If we cancel a paid Order, we refund it in full to the original payment method.

7. Pricing and payment

Prices are in U.S. dollars and exclude taxes and shipping unless shown otherwise at checkout. Prices may change at any time. The price shown when you place an Order applies, unless it was an obvious error.

Payment. Orders are paid by card on our secure card checkout, operated for us by The Good Consulting Company LLC at checkout.goodconsulting.io (the name that appears on your card statement), or by bank transfer (ACH or domestic wire) from a U.S. bank account to the account shown at checkout and in your order confirmation.

If you pay by card:

  • You are taken to the secure card checkout to enter your card; we never see or store your card number.
  • An Order placed for card payment is held for 24 hours. If the payment has not been completed by then, the Order is cancelled. You may place it again, or switch the Order to bank transfer from your order page while it is open.
  • We ship once the card payment is confirmed to us by the checkout.

If you pay by bank transfer:

  • Pay from a U.S. bank account in your name or your organization’s name, in the exact amount due, with your order number as the payment reference.
  • Orders are held for 5 business days from placement. If payment has not arrived by then, the Order is cancelled. You may place it again.
  • We ship once payment is received and matched to your Order. Transfers we cannot match to an Order are returned to the sender.

Taxes. You are responsible for applicable sales, use and similar taxes. We collect and remit them where required.

Payment disputes. If you have a problem with an Order, contact us first so we can resolve it under section 9 or 10. If you dispute or reverse a payment for an Order that was properly delivered, we may close your Account and seek to recover the amount owed.

8. Shipping

Where we ship. We ship only to addresses in the United States. We do not ship to any location where the sale of a Product is prohibited, and we may cancel Orders to those locations.

Where we ship from. Orders ship from our fulfillment facility in Florida.

Processing time. Orders are generally processed within 2 business days. Processing time is separate from transit time and may be longer on weekends and holidays, during promotions, or in high-volume periods.

Tracking. We email a tracking link when your Order ships. If you don’t receive it within 48 hours of shipment, check your spam or junk folder, then contact us.

Multiple packages. Orders with more than one Product may arrive in separate packages with separate tracking numbers.

Delivery times are estimates, not guarantees. We are not responsible for delays caused by carriers, incorrect addresses, weather, regulatory holds or other events beyond our control. Please make sure your shipping address is correct. We are not responsible for Orders shipped to an address you provided.

9. All sales final, cancellations and delivery problems

All sales are final. We do not accept returns or exchanges, and Products returned without our written authorization will not be refunded. The only exceptions are the situations in the table below and the quality guarantee in section 10. Anything else is at our sole discretion. We stand behind our Products and will always work in good faith to make things right.

To report a problem, contact support@goodpeptide.co or use the Support Center in your Account, and include your order number.

10. Quality guarantee

What we guarantee. We guarantee that each Product, at the time it ships, matches:

  • the identity stated on its label; and
  • the minimum purity stated in its certificate of analysis (COA) for that lot.

COAs are issued by independent third-party laboratories.

How to make a claim. Contact us within 30 days of delivery with:

  • your order number and the lot number;
  • a description of the problem; and
  • if you have tested the Product, the full report from an independent, accredited laboratory, with documented chain of custody for the sample.

We may ask you to return the unused Product for retesting, at our cost.

Your remedy. If we confirm the claim, we will replace the Product or refund its purchase price. This is your sole and exclusive remedy for Products that do not meet the guarantee.

11. Disclaimer of warranties

Except for the quality guarantee in section 10, Products, the Site and all information on it are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

We make no warranty that any Product is safe or suitable for human or animal use, or that any Product will produce any particular research result.

12. Limitation of liability

To the fullest extent permitted by law:

  • Excluded damages. We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, data or research, arising out of Products, the Site or these Terms.
  • Prohibited use. We are not liable for any injury, loss or damage arising from use of a Product in breach of section 4, including any human or animal use.
  • Caps. Our total liability for any claim relating to an Order is limited to the amount you paid for that Order. Our total liability for any other claim is limited to $100.

These limits apply under any legal theory, even if the damages were foreseeable. Some jurisdictions do not allow certain limits, so some of them may not apply to you.

13. Indemnification

You will defend, indemnify and hold harmless Good Peptide Co. and its owners, officers, employees, agents and suppliers from all claims, losses and expenses, including reasonable attorneys’ fees, arising out of:

  • your breach of these Terms, including section 4;
  • any human or animal use, or any other prohibited use, of a Product you bought;
  • any resale, transfer or distribution of Products by you or your customers;
  • your handling, storage or disposal of Products; or
  • your violation of any law or of any third party’s rights.

14. Affiliate program

If you join our affiliate program, any additional terms we give you when you join apply alongside these Terms. Affiliates may not make health, dosing, personal-use or results claims in any channel, and must follow the research-use requirements in section 4. We may withhold commissions or close affiliate access for any breach.

15. Use of the Site

Prohibited conduct. You will not:

  • give false information, impersonate anyone, or create an Account for someone who is not eligible;
  • share catalog access, pricing or login credentials outside your organization;
  • scrape or harvest Site content or data by automated means;
  • bypass security features or access pages you are not authorized to view; or
  • post or send unlawful or misleading content, or content describing personal use of any Product.

Your content. We may use feedback you send us to run and improve our business. We will not publish any content that describes personal use or results.

Intellectual property. We own the Site, our brand, labels, photography, graphics and certificate formats. You may view and print Site content for your own research records only.

Communications. You agree to receive transactional emails about your Account and Orders. We send marketing email only with your separate consent, which is never a condition of purchase.

Third-party links. We are not responsible for third-party sites linked from the Site.

Third-party services. Address suggestions and address verification at checkout are provided by Google Maps Platform (the Places API and the Address Validation API). Your use of those features is also subject to Google's Terms of Service, and Google's handling of the information is described in the Google Privacy Policy.

16. Disputes

Informal resolution first. Before starting any claim, you agree to send a written description of the dispute to support@goodpeptide.co with the subject line “Legal Notice”, and to try in good faith to resolve it informally for at least 60 days.

Arbitration. If the dispute is not resolved informally, it will be decided by binding individual arbitration administered by the American Arbitration Association under its applicable rules. The arbitration will take place in Sheridan County, Wyoming, or by video conference. Either party may instead bring an individual claim in small claims court, or seek injunctive relief for misuse of intellectual property.

Class action waiver. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective or representative proceeding.

Governing law. These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. Any claim not subject to arbitration will be brought in the state or federal courts located in Wyoming.

Time limit. Any claim must be brought within one year after it arises, to the extent the law allows.

17. Termination and general terms

Termination. You may close your Account at any time. We may suspend or close your Account for any breach of these Terms, to comply with law, or to prevent misuse. Sections 4 and 10 through 17 survive termination.

Changes to these Terms. We may update these Terms as our practices or the law change. When we do, we will post the updated Terms here and change the “Last updated” date. For material changes, we will notify Account holders by email or by a notice on the Site before the changes take effect. Updated Terms apply to Orders placed after they take effect.

General.

  • Severability: if any provision is found unenforceable, the rest remains in effect.
  • No waiver: our failure to enforce a provision is not a waiver of it.
  • Assignment: you may not assign these Terms without our written consent. We may assign them to a successor.
  • Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
  • Entire agreement: these Terms and our Privacy Policy are the entire agreement between you and us on their subject, except for any separate written agreement described in section 1.
